Carve-Out Overview

  1. In a paragraph or two, describe the assets to be carved out of the company.
  2. In a few paragraphs, describe the process you believe to be the most efficient in doing so.
  3. What steps will the buyer need to take post closing to assume operating control of the assets?
    1. Employees
    2. Billing
    3. Support
    4. Hard Assets
    5. Assumed Leases and Liabilities
  4. List each office location per City, State and Country, and the functions performed in each office.
  5. List the location, position/title and salary of each of the employees.
  6. List the location of all of the assets, with estimated cost and age.
  7. What is the asking price for the assets?

Assets

  1. Billing system software/platform/revision number
  2. Client tracking
  3. New client sign-up procedures
  4. Control Panel Used  Cpanel, Ensim, Hsphere, Sphera, Plesk, Custom?  If custom does it have mysql backend?
  5. # of Servers used for each service offering:  Shared, dedicated, and co-lo and in what locations for each.  If more than one data center is being used, I need to know at each data center how many shared vs. dedicated.
  6. Operating System:  Windows vs. Linux or combo
  7. Bandwidth usages (average and peak), and cost for each of the last 12 months
  8. Data Center: 
    1. Location, sq/ft, owned or leased. 
    2. If leased servers or co-located indicate which data center it is.
    3. Level of redundancy
    4. If owned give a full description of the investment, the capabilities and the capacity.   
  9. Any software or other licenses?  If so explain.
  10. Who do you use for domain registration?
  11. How many active domains you have and what is the annualized revenue from this?
  12. Is support offered in other languages in addition to English?
  13. What type of support is offered?  Is it in house?
  14. What is the average # of tickets either per day, week or month?
  15. Do you own your own name server?

Customers

For companies which offer services (and products) other than pure play web hosting such as design, development, programming, consulting, access, etc., please address each question specifically as it relates to each of the aforementioned services. 

  1. What is your typical customer profile, for example 30% SOHO, 40% small business, 10% medium business, 20% non-profits?
  2. What % of your customers are based in the US?
  3. Do you have the customer’s credit card information?
  4. Do you use a payment processing center?
  5. Do you send out invoices?
  6. Total customers  Hosting base presently; shared, dedicated and co-los
  7. Gross new sign ups for each of the last 12 months
  8. Gross cancellations for each of the last 12 months
  9. Reseller Customers:
  10. Total number of resellers
  11. How many customers to each of them have currently: shared, dedicated and co-los
  12. What other services do you offer customers?  (design, IT consulting, network management, access, applications, application set up, etc.) List each avenue of marketing and advertising and how much was spent with each in each of the last 12 months
  13. Billing - Number of clients on each billing period, monthly, quarterly, annual.
  14. Current payment methods accepted (credit cards, PayPal, checks, etc.)

Financial Statements

  1. If there are financial statements which were created for these specific assets, please provide. 
  2. If not, then please create a dynamic income statement.  This will show the buyer what the cost structure would be post closing.  Take into account non-monthly billings and non monthly expenses.
  3. How much revenue was generated by each of the top 5 customers in each of the last 12 months?
